OrcaLex Technologies LLP provides the following services:

• AI-powered EdTech solutions including question generation and assessment systems
• AI manufacturing solutions with inventory control and process optimization
• Advanced LLM fine-tuning services (SFT, GRPO, GSPO, DR-GRPO)
• Retrieval-Augmented Generation (RAG) implementation
• Agentic AI systems and autonomous workflow engineering
• Multimodal AI solutions and Small Language Models (SLMs)
• AI audits, consulting, and strategic advisory services
• Interactive demo platform for evaluating AI capabilities

3. Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you are at least 18 years of age and have the legal authority to enter into these Terms. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Account Registration

Certain features of our Services may require you to create an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain the security and confidentiality of your credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or pose security risks.

You may use our Services for lawful purposes and in accordance with these Terms. This includes exploring our demo platform, requesting information about our services, and engaging with our content.

5.2 Prohibited Activities

You agree not to:

• Use the Services for any unlawful purpose or in violation of applicable laws
• Attempt to gain unauthorized access to our systems, servers, or networks
• Interfere with or disrupt the integrity or performance of the Services
• Use automated means (bots, scrapers, crawlers) to access the Services without prior written consent
• Reverse engineer, decompile, or disassemble any aspect of the Services
• Use the Services to develop competing products or services
• Submit malicious code, viruses, or harmful content through our forms or platform
• Impersonate any person or entity, or misrepresent your affiliation
• Collect or harvest personal data from the Services without authorization

6. Intellectual Property

6.1 Our Intellectual Property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, AI models, algorithms, and the design, selection, and arrangement thereof — are owned by OrcaLex Technologies LLP, its licensors, or other providers and are protected by intellectual property laws.

6.2 Client Intellectual Property

We respect the intellectual property rights of our clients and partners. Any proprietary data, materials, or content provided by clients during the course of service engagement remain the property of the respective clients, as governed by individual service agreements.

6.3 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal, non-commercial purposes, subject to these Terms.

7. AI Model Disclaimer

Our AI services utilize machine learning models that may produce outputs based on patterns in training data. While we strive for accuracy and reliability:

• AI-generated outputs should be reviewed and validated before use in critical applications
• We do not guarantee that AI outputs will be error-free, complete, or suitable for any specific purpose
• AI models may reflect biases present in training data; we actively work to identify and mitigate such biases
• Clients are responsible for ensuring AI outputs comply with their applicable regulatory requirements
• We maintain human-in-the-loop protocols for high-stakes AI deployments

8. Service Availability

We endeavor to maintain the availability of our website and demo platform. However, we do not guarantee uninterrupted or error-free service. We may modify, suspend, or discontinue any part of the Services at any time without notice. Scheduled maintenance will be communicated where feasible.

9. Fees and Payment

Pricing for our AI services is determined on a project-by-project basis. Specific fees, payment terms, and billing arrangements will be outlined in individual service agreements or statements of work. The demo platform is provided free of charge for evaluation purposes.

10. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of engagement. Confidential information includes, but is not limited to, business strategies, technical specifications, client data, trade secrets, and AI model architectures. Confidentiality obligations survive termination of these Terms.

11. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. ORCALEX TECHNOLOGIES DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Merchantability and fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or completeness of content
• Uninterrupted, secure, or error-free operation

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORCALEX TECHNOLOGIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from unauthorized access to or alteration of your data
• Damages arising from the use or inability to use the Services

Our aggregate liability shall not exceed the amount paid by you for the specific services giving rise to the claim during the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless OrcaLex Technologies and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, violation of these Terms, or infringement of any third-party rights.

14. Data Protection

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the data practices described therein.

15. Termination

We may terminate or suspend your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will cease immediately. Provisions that by their nature should survive termination shall remain in effect.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

Before initiating formal proceedings, both parties agree to attempt to resolve the dispute through good-faith negotiations for a period of at least thirty (30) days.

17. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.

18. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

19. Entire Agreement

These Terms, together with our Privacy Policy and any individual service agreements, constitute the entire agreement between you and OrcaLex Technologies regarding the Services and supersede all prior agreements and understandings.
